TERMS OF USE

Welcome to Yushaa.

These Terms of Use govern your access to and use of the Yushaa website, mobile applications, marketplace services, escrow services, fulfilment services, content, and related products and services.

By accessing or using Yushaa, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

Yushaa is a commerce platform that connects buyers and vendors and provides tools that facilitate product discovery, transactions, buyer protection, escrow services, fulfilment services, and related commerce activities.

Yushaa currently operates through:

• Marketplace Services

• Escrow Services

• Yushaa Select Managed Commerce Services

• Fulfilment Services

• Content Commerce Services

Yushaa may introduce additional services from time to time.

To use Yushaa, you must:

• Be at least 18 years old or have the consent of a parent or guardian

• Provide accurate and complete information

• Comply with all applicable laws and regulations

• Have the legal capacity to enter into binding agreements

Yushaa reserves the right to refuse access to any user who does not meet these requirements.

Users may create accounts as:

• Buyers

• Vendors

• Other approved account types

You are responsible for:

• Maintaining the security of your account

• Keeping your login credentials confidential

• Ensuring that your account information remains accurate and up to date

• All activities carried out under your account

Yushaa reserves the right to suspend or terminate accounts that violate these Terms.

All vendors are required to complete Yushaa's verification process before transacting on the platform.

Yushaa may request:

• Government-issued identification

• Business registration documents

• Bank account verification

• Contact information

• Proof of address

• Additional compliance documentation where required

Yushaa reserves the right to approve, reject, suspend, or terminate vendor accounts at its discretion.

Vendors are responsible for ensuring that all listings are:

• Accurate

• Complete

• Truthful

• Lawful

• Not misleading

Vendors remain solely responsible for the quality, authenticity, legality, pricing, and availability of their products.

Yushaa reserves the right to remove any listing that violates these Terms or applicable policies.

When a buyer places an order, a transaction is created between the buyer and the vendor through the Yushaa platform.

Yushaa facilitates the transaction and may temporarily hold funds through its buyer protection and escrow process pending successful completion of the transaction.

All transactions are subject to:

• Buyer Protection Policy

• Shipping Policy

• Returns and Refund Policy

• Acceptable Use Policy

Yushaa reserves the right to cancel, suspend, or investigate transactions where fraud, policy violations, or operational concerns are identified.

Yushaa operates a buyer protection system through escrow.

Under this process:

• The buyer submits payment

• Funds are securely held

• The vendor fulfils the order

• The buyer confirms receipt of the product

• Funds are released to the vendor

Where a dispute arises, funds may remain on hold until the dispute is resolved.

Yushaa reserves the right to review evidence submitted by all parties and determine an appropriate resolution.

Under the Marketplace Fulfilment model:

• Vendors retain possession of inventory

• Vendors are responsible for packaging and shipping

• Vendors are responsible for delivery obligations

• Yushaa facilitates the transaction and buyer protection process

Under Yushaa Select:

• Vendors may submit inventory to Yushaa

• Yushaa may store inventory

• Yushaa may photograph and market products

• Yushaa may package and fulfil customer orders

• Yushaa may coordinate delivery

Inventory remains the property of the vendor until sold unless otherwise agreed in writing.

Vendor settlements under Yushaa Select are processed in accordance with the applicable vendor agreement and payout schedule.

Yushaa may charge fees including:

• Subscription fees

• Escrow fees

• Fulfilment fees

• Storage fees

• Marketing fees

• Service fees

Applicable fees will be disclosed before they are charged.

Yushaa reserves the right to update its pricing and fee structure at any time.

Returns, refunds, cancellations, and disputes are governed by the Yushaa Returns and Refund Policy and Buyer Protection Policy.

Users agree to cooperate with any investigation conducted by Yushaa and provide any information reasonably requested.

Yushaa reserves the right to determine the outcome of disputes based on available evidence and platform policies.

Users may not:

• Violate applicable laws

• Sell prohibited products

• Engage in fraud or deceptive practices

• Circumvent platform fees

• Manipulate reviews or ratings

• Use false identities

• Infringe intellectual property rights

• Attempt unauthorized access to the Platform

Violations may result in suspension, termination, removal of listings, withholding of payouts, or legal action.

All content, trademarks, logos, software, designs, branding, and intellectual property associated with Yushaa belong to Yushaa or its licensors.

Users may not reproduce, distribute, modify, or exploit Yushaa intellectual property without prior written consent.

Yushaa collects and processes personal information in accordance with its Privacy Policy.

By using the Platform, users consent to the collection, use, storage, and processing of information as described in the Privacy Policy.

To the fullest extent permitted by law, Yushaa provides its services on an "as available" and "as is" basis.

Yushaa does not guarantee uninterrupted access to the Platform.

Yushaa shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Platform.

Nothing in these Terms excludes liability that cannot legally be excluded.

Yushaa may suspend, restrict, or terminate access to the Platform where:

• These Terms are violated

• Fraud is suspected

• Regulatory concerns arise

• Platform security is threatened

Termination does not relieve users of obligations incurred before termination.

Yushaa may update these Terms from time to time.

Updated versions will be published on the Platform and become effective upon publication.

Continued use of Yushaa constitutes acceptance of the updated Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
